J. Robert Turnipseed, one of the firm’s tax partners, recently published an article in the Bloomberg BNA Tax Management Real Estate Journal, entitled “Planning for the Transition of a Real Estate Business: A Primer on Buy/Sell Agreements.” In the article, Mr. Turnipseed and his co-author, Shelby Wilson, outline the basics of buy/sell agreements for small businesses, focusing specifically on small businesses holding real estate interests. This article covers the tax aspects of transitioning a business between owners, and provides insight on the practical considerations that must be given to such arrangements, including a detailed discussion of the necessary terms required in buy/sell agreements.
