The Corporate and Securities Law practice group covers a broad array of clients and industries, and business entities besides corporations

Transactions

This group is focused on executing our clients’ transactions, whether in operations or in buying or selling entire companies, and is experienced in public company transactions.

Securities

The firm has extensive experience with state and federal securities matters, including representing issuers and owners of securities in the public and private offering of securities, advising companies regarding Securities and Exchange Commission filings and compliance, and advising clients regarding the securities law aspects of negotiated and hostile corporate acquisitions.  The firm’s experience includes service by one of its members on the Alabama Securities Commission.  

  • Represent issuers and owners in public and private securities offerings, including bond issues
  • Advise financial institutions and other companies in all aspects of Securities and Exchange Commission (SEC) filings
  • Protect our clients’ interests in negotiated and hostile corporate acquisitions
  • Provide extensive counsel on regulatory compliance with the Sarbanes-Oxley, Dodd-Frank and other aspects of corporate governance
  • Counsel private investors and management of various entities on a full range of issues involving fiduciary duty, documentation, taxation and other issues

Entity Formation

Today, The “corporate” name is really not a fair description for the broader area of practice encompassing all the modern forms of business entities such as LLCs, LLPs, limited partnerships, and special purpose and bankruptcy-remote entities as well as the other business entities such as partnerships, trusts and of course, corporations.  We form all manner of Alabama and Delaware entities.  With our Tax team, we are able to provide comprehensive advice on entity selection.

Operation of Entities

The firm advises entities’ management on fiduciary duties and governance. 

General Advice to Business

The first stop for our business clients with a legal problem is often their connection to the Corporate and Securities team.  This team “quarterbacks” ad hoc interdisciplinary teams of lawyers to solve specific problems or tasks.

Day to day, this team helps clients negotiate and document a diverse array of business issues, of which this is only a small sample:

  • Business buy-sells
  • Leasing (aircraft and other industrial equipment)
  • Employment including covenants not to compete
